1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the services provided by Sohodor IT (“we,” “us,” or “our”), including IT consulting, software development, infrastructure management, cybersecurity, and related professional services (collectively, the “Services”).

By engaging with Sohodor IT—whether through our website (https://sohodorit.com), email, phone, or in-person—you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Services Overview

Sohodor IT provides customized IT solutions including but not limited to:

• Custom software and application development
• IT infrastructure and networking setup
• Cloud migration and DevOps implementation
• Cybersecurity audits and protection
• Data analytics and business intelligence
• Digital marketing and branding
• IT training and strategic consultancy

All Services are delivered under a separate Statement of Work (SOW) or Service Agreement that outlines scope, timeline, deliverables, and fees.

3. Client Responsibilities

You agree to:

• Provide timely access to necessary systems, data, and personnel
• Supply accurate and complete information required for project execution
• Make payments as outlined in your agreed-upon invoice or contract
• Comply with all applicable laws and regulations

4. Intellectual Property

Upon full payment, Sohodor IT grants you ownership of the final deliverables (e.g., source code, designs, documentation) created specifically for your project, unless otherwise stated in your contract.

Pre-existing tools, libraries, frameworks, and reusable components developed by Sohodor IT remain our intellectual property and are licensed for your use as part of the delivered solution.

5. Payment Terms

Fees for Services are outlined in your project proposal or invoice. Payment is typically due:

• 50% upfront to commence work
• 50% upon project completion or as per milestone schedule

Late payments may incur interest at 1.5% per month. Sohodor IT reserves the right to pause work until payment is received.

6. Confidentiality

Both parties agree to keep all non-public business, technical, and financial information confidential. This obligation survives termination of the engagement.

7. Limitation of Liability

Sohodor IT provides Services with professional diligence, but does not guarantee uninterrupted or error-free operation. Our total liability for any claim related to the Services shall not exceed the total fees paid by you for the specific project in question.

We are not liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss).

8. Termination

Either party may terminate a project with written notice. You will be billed for all work completed up to the termination date, plus any non-refundable third-party costs.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles.

10. Changes to These Terms

We may update these Terms periodically. The “Last updated” date above will reflect changes. Continued use of our Services after such updates constitutes your acceptance.
